Part B — Terms and conditions of sale
7. General
These terms apply to all quotations, orders and supplies of rolls, fibre products and related goods and services by Apex Rolls (India) Pvt. Ltd. ("the Company") to its customers. They apply unless the Company agrees other terms in writing. Terms printed on a customer's order do not apply unless the Company accepts them in writing.
8. Quotations and orders
- Quotations are valid for 30 days unless they say otherwise.
- An order is binding only when the Company confirms it in writing.
- Rolls are made to the customer's drawings and specifications. The customer is responsible for the accuracy of the drawings, groove designs, dimensions and application data that it supplies.
- Changes after order confirmation need the Company's written agreement and may change the price and the delivery date.
9. Specifications, tests and certificates
Goods are made to the grade, hardness range, chemical composition and dimensions agreed at order confirmation, within normal manufacturing tolerances. Each dispatch comes with the test certificates agreed for the order (for example chemistry, hardness and dynamic balance).
10. Prices, taxes and payment
- Prices are ex-works Malerkotla unless the quotation says otherwise.
- GST, other taxes and duties, packing, freight and insurance are extra unless the quotation includes them.
- Payment is due as agreed at order confirmation.
- The Company may charge interest on overdue amounts at prevailing bank rates, and may hold further deliveries until overdue amounts are paid.
- The goods remain the Company's property until they are paid for in full.
11. Delivery and risk
Delivery dates are estimates given in good faith. Risk in the goods passes to the customer when they leave the Company's works, unless the Company agrees otherwise in writing. Unless agreed, the customer arranges transit insurance.
12. Inspection and claims
- The customer should inspect the goods on arrival.
- Visible damage, shortages or defects must be reported in writing within 15 days of arrival, with photos where possible.
- Hidden defects must be reported in writing as soon as they are found, within the warranty period.
- Goods may be returned only with the Company's written agreement.
13. Warranty
The Company warrants that its rolls conform to the agreed specification and are free from manufacturing defects. If a roll is shown to be defective, the Company will, at its option, repair it, replace it or credit its price. This is the customer's only remedy under the warranty.
The warranty does not cover:
- Normal wear.
- Damage from mill accidents, cobbles, overloading or incorrect mill settings.
- Failure of cooling, incorrect mounting, or use outside the agreed application.
- Improper storage, handling or transport after the goods left the Company's works.
- Goods changed or repaired by others without the Company's written agreement.
14. Limitation of liability
The Company's total liability for any order is limited to the invoice value of the goods concerned. The Company is not liable for indirect or consequential loss, including loss of production, profit or contracts. Nothing in these terms limits liability that cannot be limited by law.
15. Events outside our control
The Company is not liable for delay or failure caused by events outside its reasonable control — for example natural disasters, epidemics, war, government action, strikes, power cuts, shortages of raw materials or transport disruption. Delivery dates move by the length of such an event.
16. Drawings and confidentiality
The Company keeps customer drawings and specifications confidential and uses them only to quote for, make and test the customer's goods. It may share them, under a duty of confidentiality, with partner foundries and workshops that make parts of the order.
17. Buy-back of worn rolls and scrap
Buying back end-of-life rolls and selling machining scrap are separate transactions, on terms agreed for each case.
18. Governing law and courts
These terms are governed by the laws of India. The courts at Malerkotla / Sangrur (Punjab) have exclusive jurisdiction over any dispute.
19. Changes to these terms
The Company may update these terms. The terms in force on the date of the order confirmation apply to that order. The date at the top of this page shows the last update.
Part C — Disclaimer
20. Technical information
Technical information on this website — including composition ranges, hardness values, sizes and the recommended roll grades for each mill and stand — is typical and for general guidance only. The exact specification is confirmed at quotation and order stage, against the customer's drawings and application.
The 3D pictures and drawings on this website are illustrations. They show how rolls are made and used; they are not to scale and are not specifications.
21. No reliance
The Company accepts no liability for decisions made only on the basis of this website. Please ask us for a quotation or for technical advice for your application. Product names and trademarks of others belong to their owners.
